Selling Your Center

When selling your center, you may be considering whether to include the title to your copy of Procare Software as part of the sale. You own your copy and may sell it to another party as described in Procare’s Acceptable Use Policy. This article covers details to think about and steps to take should you decide to sell your copy of Procare.

Reasons to Keep Your Copy of Procare

From a best practices standpoint, we recommend you retain title to your copy of Procare Software and let the new owners purchase title to their own, separate copy of Procare for their unique business and EIN. We recommend this for the following reasons:

  • To eliminate the possibility of future issues arising from your need to access critical information that you processed in Procare during the course of operating your business.
  • In some cases, the reports you print may not include all documentation you will need in the future.
  • By retaining title to your software, our Technical Support Team can assist you with the retrieval of data, reports, or archived records. If you sell your software we have absolutely no remedy to assist you, should the need arise, as your account no longer exists in our system.

The Effects of Selling Procare

  • Your copy of Procare may include information for multiple locations. When you sell the title, you are selling the management software for all the locations at once (all locations that are part of your title).
  • For a new owner to install and use your copy of Procare, it must be removed from your existing computer(s), unless the computer itself is part of the sale. This means you will no longer have access to the software.
  • You may need information in Procare for business or tax purposes. See: Before Removing Procare (below).
  • If you later open another center, it would be necessary to purchase Procare for the new center.

Before Removing Procare

If you decide to sell your copy of Procare, be sure to do the following before removing Procare from your computer:

  • Close your books out and run any reports you may wish to keep for your records. You may print hard copies of the reports and/or export them to other formats (PDF, CSV, etc).
    Note: It is up to you which reports you retain. Some common reports are customer statements, charge/credit summaries, child and staff time cards, payroll reports, and if you have the Expenses & Ledger Module, overall financial reports such as a trial balance.
  • If the new owner will have many of the same families as customers, or if the new owner is purchasing your accounts receivable as part of the sale, you’ll want to Make a Backup of Procare to give to the new owner. We can coordinate with you to remove the accounting history, if desired, so the new owner receives just the basic family and child information.

Transferring Your Title to a New Owner

Contact the Procare Administrative Office at 1-800-338-3884 to obtain a Title Transfer Form. This helps us to know about the sale and who the new owner is. It also protects you in the event any dispute about title to the software should arise.
